Corporate Purpose

 

The Company’s purpose is to conduct research, study, design, development, production and commercialization of innovative products or services with high technological value, and more specifically:

 

– primarily, the Company shall carry out research, study, design, development, production and commercialization of advanced artificial intelligence solutions, digital and algorithmic solutions, and any type of technical-scientific computation;

 

– the creation, design, production and commercialization of algorithms, software, computing programs, prototypes, computing systems, SaaS platforms, expert systems, predictive analysis models, monitoring and data processing systems, blockchain solutions and their subsequent developments;

 

– the creation, acquisition, transfer and commercial exploitation of any type of software, artificial intelligence solution, and methods for data analysis and storage.

 

– the creation, production and commercialization of web services and applications, mobile applications, online platforms, e-commerce platforms and electronic commerce systems, and, more generally, any other web-based tools and their subsequent developments;

 

– commercialization activities may be carried out through distance contracts, direct sales, the granting of user licenses and time-based subscription licenses, by means of online platforms, Platform as a Service (PaaS), Software as a Service (SaaS) and their subsequent developments;

 

The Company may also engage in the following secondary activities in addition to its primary business purpose:

 

the development, design, production and commercialization:

– of hardware and software solutions and ICT devices in general;

– of installation, configuration and maintenance services for hardware and software solutions;

– of IT and telematics services;

– of systems relating to the Internet of Things (IoT), robotics and their subsequent developments;

– of virtual reality, augmented reality and innovative data transmission networks;

– of rental and leasing activities concerning hardware, software, servers, machinery and equipment in general;

– of projects for the creation, development and management of infrastructures, enterprises and digital networks;

– of any digital activity relating to interventions in the field of Industry 4.0, as well as smart cities and smart rural areas;

– of collaborations with universities, bodies, institutions and research centers for studies, research, projects, products and services consistent with the Company’s corporate purpose.

 

The Company, on a non-prevalent basis and instrumental to the pursuit of its corporate purpose, may also:

– carry out networking activities, organization and management of stakeholder networks, supplier chains, conferences, meetings, congresses and trade fairs;

– grant and manage internships, traineeships, research periods, advanced training, scholarships and innovation awards;

– develop activities of technical assistance, consultancy, training and publication of documents, analyses, research, projects and reports;

– carry out the distribution and commercialization on the web of its own products and services as well as those of third parties;

– undertake, within the limits of the law, all industrial, movable, immovable and commercial activities deemed necessary or useful for the achievement of corporate objectives;

– acquire interests or shareholdings, including equity participations, in Italian and foreign companies, whether subsidiaries, affiliates or associated entities, for the purpose of stable investment and not for placement;

– manage the technical and administrative coordination, including the administration of companies belonging to the same group;

– carry out, directly or by mandate, any active or passive financial transaction with subsidiaries, affiliates or associated entities;

– enter into franchise agreements and any other affiliation contracts in the sectors indicated above;

– directly finance or facilitate the financing of investments aimed at achieving corporate objectives;

– access subsidized financing provided under applicable EU, national or regional laws;

– receive donations and research and development funding from private parties as well as national and international entities;

– participate in calls for tenders, bids, competitions and both national and international procurement procedures;

– assume and grant contracts and subcontracts;

– obtain concessions for infrastructures and public works, directly or in joint venture with third parties, in Italy and abroad;

– participate in consortia, joint ventures and associations in general;

– make use of the services of shareholders, external professionals and experts;

– carry out the purchase and disposal of receivables of companies belonging to the same group, with the express exclusion of receivables from third parties held by financial intermediaries possibly belonging to the same group;

– issue guarantees, sureties, bonds, endorsements and grant financing, within the limits permitted by law;

– undertake obligations both with private parties and with credit institutions, banks and public bodies;

– manage trademarks and patents in Italy and abroad;

– conduct directly or under lease real estate and business management, as well as the construction and renovation of buildings.

 

All the activities and operations included in the present corporate purpose may be carried out on the Company’s own account or on behalf of third parties, both in Italy and abroad.

Numeraway is a company specialized in data analysis and the development of software solutions, with a particular focus on automation and artificial intelligence techniques. The Company offers a wide range of services, including the design and implementation of intelligent algorithms, chatbots, expert systems, data collection and analysis, text mining, behavioral analysis, and the automation of business processes.

 

Numeraway serves a diversified client base, including industrial companies, innovative SMEs, and both public and private entities, providing tailored solutions to enhance operational efficiency and support strategic decision-making.
